Terms and Conditions – Subscription
These Terms and Conditions regulate the agreement (“Agreement”) between Kudos To You AB (“Company”), and You (“Customer”), on the date of acceptance.
- Service Description: Company agrees to provide Customer with access to the Qdos2U.com platform (“Service”) with the number of participants as selected by you during the subscription period defined in Section 2.
- Subscription Period: The initial subscription period for the Service will be for the remainder of the month of Selected start date plus the following 3 months. After the initial 3 period, the subscription will automatically renew on a monthly basis on the 1st of each month unless terminated by either party as described in Section 6.
- Increase the number of participants in Subscription: The Customer can increase the number of participants at any time, and the change will take immediate effect. The increase, the difference between previous and new number of participatns, will have an inital subscription period as described in Section 2.
- Decrease the number of participants in Subscription: If the Customer decreases the number of participants in the subscription, the change will take effect at the start of the next subscription period.
- Replacement of participants: Once a participant becomes active in a project within the subscription, the participant will allocate one slot. The slot will be allocated during the months when the project is active. After completion of the project, the allocated slots will be released at the end of that month. Note that if a participant is active in more than one project, the allocation will remain until the last project is closed.
- Cancellation: Either party may terminate this Agreement with written notice prior to the end of the current subscription period. If Customer cancels the subscription before the end of the initial 3 month period, no refund will be provided. However, if the cause of cancellation by the Customer is an increase the price, as described in Section 9, of more than 10% compared to the previous month, the Customer may terminate the Service at the end of the current month.
- Payment: Customer will be invoiced for the subscription fee, as defined in Section 8, on the 1st of each month, starting after the Selected start date. The first invoice will cover the remaining days in the month of the Selected start date as well as the first full month. Payment terms for the invoice are 30 days. All payments are non-refundable.
- Subscription fee: The subscription fee is calculated according to the pricelist published on www.qdos2u.com/pricing, unless a specific agreement has been agreed by Company and Customer.
- Company may change the prices at its sole discretion, but never more than once in a month. A change in price is never made for the current month, but the effective date is at the earliest the following month. Company will notify Customer of any change to the subscription fee by sending an email to the Customer’s designated contact.
- Warranty Disclaimer: The Service is provided “as is” and Company makes no representations or warranties of any kind, express or implied, as to the operation of the Service or the information, content, materials, or products included on the Service.
- Limitation of Liability: In no event shall Company be liable for any damages whatsoever, including but not limited to any direct, indirect, special, incidental, or consequential damages, arising out of or in connection with the use or inability to use the Service.
- Governing Law: These Terms and Conditions shall be governed by and construed in accordance with the laws of Sweden, without giving effect to any principles of conflicts of law.
- Entire Agreement: This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes and replaces all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter.
- Acceptance: By completing the order of the subscription on the Qdos2U.com webpage, the Customer is accepting to be bound by these Terms and Conditions.
